End User License Agreement

1. Overview

This End User License Agreement ("Agreement") governs your use of Moonlite Labs software, platform, and services provided by Moonlite Media Inc., a Canadian corporation ("Company").

By clicking "I Accept," creating an account, or using the Services, you agree to be bound by these terms. If you do not agree, do not use the Services.

2. License Grant

Subject to your compliance with this Agreement, the Company grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable license to access and use the Software in the Territory for the Term.

• The license is personal to you and cannot be assigned or transferred
• You may not sublicense the Software to any third party
• All copyright, trademark, and proprietary notices must remain intact

3. Restrictions

You agree not to:

• Reverse engineer, decompile, or disassemble the Software
• Remove or modify any proprietary notices or markings
• Use the Services to create competing products or services
• Share your account credentials or access with others
• Exceed usage limits specified in your subscription plan
• Use the Services in violation of applicable laws

4. Intellectual Property Rights

Company IP: The Company retains all right, title, and interest in the Software, platform, and technology. You retain ownership of creative content you generate, subject to the terms of this Agreement.

Your Content: You grant the Company a royalty-free, perpetual, irrevocable, transferable, sublicensable, worldwide license to access, reproduce, and exploit any content you submit to the Services.

5. Fees and Payment

You agree to pay the subscription fee described at purchase. The Company may change fees at any time. Payment is due in accordance with your subscription plan and includes applicable taxes.

Subscriptions automatically renew unless cancelled through your account settings.

6. Disclaimer of Warranties

THE SOFTWARE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

This includes but is not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY WILL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, goodwill, use, data, or other intangible losses
• Any damages arising from your use or inability to use the Services

Your total liability is capped at the greater of (a) the amount paid in the past 12 months or (b) CAD $100.

8. Termination

The Company may suspend or terminate your access immediately if you breach this Agreement, if payment fails, or if required by law. Upon termination:

• Your right to use the Services ends immediately
• The Company may delete Your Content
• Provisions that should survive termination will survive

9. Governing Law

This Agreement is governed by the laws of the Province of Manitoba and the federal laws of Canada applicable in Manitoba, without regard to conflict of laws principles.
