These Terms of Use govern your access to and use of Moonlite Labs websites, applications, hosted services, software, APIs, and related features (collectively, the "Services") provided by Moonlite Media Inc., a Canadian corporation.
By clicking "I accept," creating an account, or otherwise accessing the Services, you agree to be bound by these terms. If you do not agree, do not access or use the Services.
1. Use of the Services
Subject to these Terms and any plan-based limits, you may access and use the Services for your personal or internal business purposes.
API Usage: If you have purchased API access, you may integrate the Services into your own applications and make functionality available to end users, subject to Section 2.5 and our branding and usage requirements.
All rights not expressly granted are reserved by the Company.
2. Restrictions
You agree not to:
- Sell, lease, distribute, or exploit the Services except as expressly permitted
- Scrape, copy, or reproduce content without authorization
- Reverse engineer, decompile, or attempt to discover source code
- Interfere with or disrupt the Services, including circumventing access controls
- Use the Services to build competing products or train competing AI models
- Remove proprietary notices or attribution
- Violate applicable laws or regulations
3. Account Registration
You are responsible for maintaining the confidentiality of your Account credentials and API keys. You agree to notify us immediately of any unauthorized use by emailing info@moonlitelabs.com.
You represent that information you provide is accurate, current, and complete. We may suspend or terminate Accounts with inaccurate information or suspected misuse.
4. Your Content
You are responsible for all content you upload, submit, or generate using the Services ("Your Content"). You represent and warrant that you have all rights and permissions needed to provide Your Content.
You grant the Company a worldwide, non-exclusive, royalty-free license to use Your Content solely to provide, maintain, and improve the Services.
5. AI Model Training
Unless you are on an enterprise plan that explicitly excludes it, you agree that the Company may use your Inputs and Outputs to improve and develop the Services, including for safety, debugging, and model improvement.
Outputs may be non-unique and similar Outputs may be generated for other users.
6. Prohibited Content
You must not use the Services to create content that is:
- Illegal or violates laws in your jurisdiction
- Sexually exploitative, especially involving minors
- Hateful, violent, harassing, or discriminatory
- Fraudulent, deceptive, or impersonating
- Infringing on intellectual property or privacy rights
- Malicious or attempts to bypass safety systems
7. Fees and Billing
Paid subscriptions automatically renew for the same term unless you cancel through your account settings before the renewal date.
We may change fees, features, or limits for future renewal periods. Your continued use after changes take effect constitutes acceptance.
Except as required by law, fees are non-refundable. We may issue refunds at our discretion.
8. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
This includes warranties of merchantability, fitness for a particular purpose, and non-infringement. You acknowledge that Outputs may be inaccurate or incomplete, and you are solely responsible for how you use them.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- The Company is not liable for indirect, incidental, special, or consequential damages
- The Company is not liable for loss of profits, revenue, data, or goodwill
- Total liability is capped at the greater of (a) amounts paid in the past 12 months or (b) CAD $100
Some jurisdictions do not allow certain limitations, in which case liability is limited to the greatest extent permitted by law.
10. Termination
We may suspend or terminate your access immediately if you breach these Terms, if payment fails, if required by law, or if we determine your use creates risk.
Upon termination, your right to access the Services ends. Provisions that should survive termination will survive, including IP, disclaimers, and limitation of liability.
11. Dispute Resolution
Disputes arising out of or relating to these Terms or the Services will be brought exclusively in the courts located in Winnipeg, Manitoba, and you consent to personal jurisdiction there.
12. Governing Law
These Terms are governed by the laws of the Province of Manitoba and the federal laws of Canada applicable in Manitoba, without regard to conflict of laws principles.
13. Changes to These Terms
We may modify these Terms by posting an updated version and changing the "Last Updated" date. If changes are material, we may provide additional notice where required by law.
Your continued use of the Services after the effective date constitutes acceptance of the changes.
